Terms of Use & Governing Law
The terms that govern your use of Meritshot's platform, services, and your legal rights.
Section A — Terms of Use
A.1 Acceptance of Terms
By enrolling in any Meritshot program, accessing the Meritshot website, learning management system (LMS), or any other Meritshot platform, the student agrees to be bound by all current Meritshot policies, including this Terms of Use policy, the Code of Conduct, the Privacy Policy, the Refund Policy, and all other applicable policies in force at the time of enrollment.
A.2 Use of Platform
Students are granted a limited, personal, non-transferable, non-commercial licence to access and use Meritshot's platforms solely for their own educational purposes. The following are prohibited:
- Sharing login credentials with any third party
- Attempting to gain unauthorised access to any part of Meritshot's systems or databases
- Reverse-engineering, scraping, or copying any proprietary content or functionality
- Using Meritshot's platforms or brand for commercial purposes without prior written consent
A.3 Third-Party Services
Meritshot's platforms may integrate with or link to third-party services (e.g., payment gateways, video conferencing tools, LMS platforms). Meritshot is not responsible for the content, availability, or data practices of third-party services. Students are advised to review third-party privacy policies and terms independently.
Section B — Policy Update Clause
B.1 Right to Amend Policies
Meritshot Zetta Edutech Private Limited reserves the right to update, revise, or amend any of its policies — including this Terms of Use, the Code of Conduct, the Refund Policy, and all other student-facing policies — at any time without prior notice, subject to the notification provisions in Section B.2.
B.2 Notification of Changes
- Material policy changes will be communicated to enrolled students via email (to the registered email address on file) and/or through an announcement on the LMS or official communication channel
- Non-material clarifications or minor amendments may be updated on the website without direct notification
- It is the student's responsibility to periodically review current policies on Meritshot's official website
B.3 Effective Date
Revised policies take effect from the date specified in the update notification. Continued use of the platform or participation in the program after the effective date constitutes acceptance of the revised policy.
B.4 Policy Version Archive
Students may request access to a previous version of any policy by submitting a written request to the academic team. Policy version history will be maintained internally for a minimum of 3 years.
Section C — Governing Law & Dispute Resolution
C.1 Governing Law
These terms and all Meritshot policies are governed by and construed in accordance with the laws of the Republic of India. Any disputes arising under or in connection with these policies shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
C.2 Dispute Resolution — Negotiation First
In the event of a dispute between a student and Meritshot, both parties agree to first attempt to resolve the matter through good-faith negotiation. The student must raise the issue formally through the Grievance Redressal process before initiating any formal legal proceedings.
C.3 Arbitration
If the dispute cannot be resolved through negotiation within 30 days of formal written notification, either party may refer the matter to binding arbitration. Arbitration shall be conducted: under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed by both parties (or, in the absence of agreement, appointed in accordance with the Act), and in the English language, with proceedings held in New Delhi, India.
C.4 Limitation Period
Any claim arising from the student's enrollment or the provision of Meritshot's services must be initiated within 2 years of the event giving rise to the claim. Claims filed after this period will not be entertained.
C.5 Class Action Waiver
Each dispute must be resolved individually. Students may not bring or participate in class-action proceedings against Meritshot in any forum without prior written consent.
Legal Reference: Dispute resolution provisions are consistent with the Arbitration and Conciliation Act, 1996 and the Consumer Protection Act, 2019. Consumer disputes involving amounts up to ₹1 crore may be referred to the District Consumer Disputes Redressal Commission without mandatory arbitration.
